Provider: Northbridge Creative Pty Ltd, 14 Harbour Lane, Melbourne VIC 3000 Client: Verdant Foods Pty Ltd, 88 Orchard Road, Brisbane QLD 4000 Effective date: 1 April 2026


1. Parties

This Service Contract is made between Northbridge Creative Pty Ltd ("Provider") and Verdant Foods Pty Ltd ("Client").

2. Services / scope of work

The Provider will perform the following monthly services for the Client:

  • Manage the Client's social media on two platforms, including 8 posts and 4 short videos per month
  • Write and publish 2 blog articles per month to the Client's website
  • Provide a monthly performance report with reach, engagement, and lead figures

Out of scope: paid advertising spend, photography on location, and website redesign work. These can be quoted separately.

3. Fees and payment

  • Fees: a fixed fee of 3,200 AUD per month.
  • Invoicing: invoices are issued on the first business day of each month and are due within 14 days.
  • Late payment: overdue amounts accrue interest at 1.5 percent per month.
  • Expenses and taxes: pre-approved expenses are billed at cost. Fees are exclusive of GST.

4. Term and renewal

This contract begins on the effective date and continues for 12 months. It then renews for successive 12-month terms unless either party gives 30 days' written notice before the renewal date.

5. Service levels

The Provider commits to the following service levels:

  • Respond to Client requests within 1 business day
  • Deliver the monthly report by the 5th business day of the following month

Remedy for missed service levels: for each month a committed deliverable is more than 5 business days late, the Client receives a 10 percent credit on that month's fee.

6. Intellectual property

The Client owns the final published content created under this contract once that month's invoice is paid in full. The Provider retains ownership of its templates, internal tools, and working files, and grants the Client a licence to use the delivered content for its own marketing.

7. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform this contract. This obligation continues for 2 years after the contract ends.

8. Warranties

The Provider warrants that the services will be performed with reasonable skill and care, consistent with professional standards for marketing services. No other warranties are given except as required by law.

9. Limitation of liability and indemnity

Each party's total liability under this contract is capped at the total fees paid in the 3 months before the event giving rise to the claim. Neither party is liable for indirect or consequential loss. Each party will cover third-party claims caused by its own breach of this contract. (Illustrative wording only — these clauses must be reviewed by a qualified lawyer.)

10. Termination

  • For convenience: either party may terminate with 30 days' written notice.
  • For cause: either party may terminate immediately if the other commits a material breach and does not fix it within 14 days of written notice.
  • On termination: the Client pays for all services delivered up to the termination date, and the Provider hands over all paid-for final content.
  • Survival: the confidentiality, intellectual property, and accrued-fees clauses survive termination.

11. General

  • Governing law: the laws of Victoria, Australia.
  • Dispute resolution: the parties will attempt to resolve disputes by negotiation, then mediation, before going to court.
  • Assignment: neither party may assign this contract without the other's written consent.
  • Amendments: this contract may be changed only in writing, signed by both parties.
