Startup Funding Proposal — Cargologic Seed Round
Company: Cargologic, Inc. (freight-forwarding workflow software) Prepared for: Northbridge Ventures Prepared by: Elena Marsh, Co-founder & CEO Date: 4 June 2026 Round: Seed
1. Executive summary
Cargologic replaces the spreadsheets and email chains that freight forwarders use to manage shipments with a single operations platform. In 11 months we have grown to 38 paying freight forwarders and $54K MRR, up 9 percent month over month, with net revenue retention of 112 percent. We are raising a $2.5M seed round on a SAFE with a $14M post-money cap, to reach $200K MRR and a repeatable sales motion that sets up a Series A in 18 months.
2. The opportunity
Small and mid-size freight forwarders move billions of dollars of cargo on tooling built for a different era — shared inboxes, spreadsheets, and a customs portal that does not talk to anything else. A single missed update can cost a forwarder a client. There are roughly 18,000 such forwarders in our launch markets, and none of the legacy systems serve the under-50-employee segment well.
Why now: a wave of retiring operations staff is forcing these firms to digitize, and modern logistics APIs (carriers, customs, tracking) have finally matured enough to stitch a workflow on top of them. Our founding team ran operations at a forwarder for six years and felt this pain directly.
3. The raise
- Amount: $2.5M
- Instrument: SAFE (post-money, no discount)
- Valuation cap: $14M post-money
- Discount: N/A
- Committed so far: $900K soft-circled (two angels + one micro-fund); $1.6M remaining
- Minimum check: $50K
4. Use of funds
| Category | Allocation | What it funds |
|---|---|---|
| Engineering & product | 50% | 4 engineers + 1 designer; carrier and customs integrations |
| Go-to-market | 30% | 2 account executives + outbound and content demand gen |
| Operations & overhead | 20% | Customer success hire, tooling, legal, runway buffer |
| Total | 100% | ~20 months of runway |
5. Milestones this round unlocks
| Milestone | Target | Why it matters |
|---|---|---|
| Revenue | $200K MRR | Clears the bar most Series A leads want to see |
| Product | Customs + carrier API coverage for top 3 markets | Unlocks larger forwarders |
| Sales | Repeatable, documented sales motion (CAC payback under 12 months) | Proves the model scales |
