1. Parties
This Master Services Agreement (the "Agreement") is made between [Provider legal name] ("Provider") and [Client legal name] ("Client").
[Note: use full legal entity names exactly. Confirm with your lawyer that the named entities are the ones you intend to bind.]
2. Services and Statements of Work
This Agreement sets the master terms governing the relationship. The specific services the Provider performs will be described in one or more Statements of Work (each, a "SOW") issued and signed under this Agreement. Each SOW incorporates the terms of this Agreement.
Order of precedence: if a SOW conflicts with this Agreement, this Agreement governs except where the SOW expressly states the commercial detail it is meant to set (such as that project's fees, schedule, and deliverables).
[Note: keep the master terms general and push project-specific detail into the SOW. Have your lawyer confirm the precedence wording reads the way you intend.]
3. Term

4. Fees and payment

6. Confidentiality
