JOINT VENTURE AGREEMENT
This Agreement is made on the 1st day of July 2024.
BETWEEN
Sydney Concreting Pty Ltd (ACN: 123 456 789) of 10 Build Road, Sydney NSW (“Party A”)
AND
Prime Earthworks Pty Ltd (ACN: 987 654 321) of 20 Dig Lane, Sydney NSW (“Party B”)
OPERATIVE PROVISIONS
1. DEFINITIONS AND INTERPRETATION
1.1 “Agreement” means this Joint Venture Agreement and its Schedules. “Budget” means the budget for the Project set out in Schedule 1. “Project” means the Westfield Shopping Centre Basement Excavation.
2. OBJECTIVES AND SCOPE
2.1 The Parties agree to form a joint venture for the sole purpose of completing the Westfield Shopping Centre Basement Excavation. 2.2 Party A will provide all concrete formwork and pouring. Party B will provide all site excavation and earth moving.
3. CONTRIBUTIONS
3.1 Party A will contribute: Concrete pumps, formwork materials, and 4 skilled concreters. 3.2 Party B will contribute: 2 Excavators, 4 Dump trucks, and 4 machine operators.
4. PROFIT AND LOSS
4.1 The net profits and losses will be shared equally: Party A 50% and Party B 50%. 4.2 Distributions will occur monthly based on invoicing received from the client.
5. MANAGEMENT AND DECISION MAKING
5.1 Sydney Concreting Pty Ltd will act as the Managing Party for invoicing and client liaison. 5.2 Prime Earthworks Pty Ltd will manage the site safety log and daily inductions.

Project Name: Westfield Basement Excavation Project Address: 100 Westfield Drive, Bondi Junction NSW Description: Excavation of basement level 2 and pouring of foundation slab.
