TERMS OF TRADE
Parties
- Supplier: Apex Plumbing Solutions Pty Ltd (ABN: 12 345 678 901) of 123 Trade Street, Brisbane QLD ("Supplier")
- Customer: Smith Constructions Pty Ltd (ABN: 98 765 432 109) of 456 Site Road, Brisbane QLD ("Customer")
1. Acceptance The Customer accepts these Terms of Trade by signing the job acceptance form attached to the Supplier quote.
2. Definitions In this agreement: "Goods" means all plumbing fixtures and materials supplied by the Supplier to the Customer. "Services" means all plumbing installation and repair work provided by the Supplier to the Customer. "Price" means the price for the Goods or Services as set out in the Quote or Invoice.
3. Quotations All quotations are valid for 30 days. The Supplier reserves the right to vary the Price if copper prices change by more than 5% before acceptance.
4. Supply of Goods and Services The Supplier will use reasonable endeavours to supply the Goods and perform the Services by the date agreed with the Customer. The Supplier is not liable for any delay caused by rain or site access restrictions.
5. Price and Payment a) The Price is exclusive of GST. b) The Customer must pay the Price within 14 days of the date of the Invoice. c) Payment must be made to BSB: 123-456 Account: 999888777 by Electronic Funds Transfer.
6. Retention of Title Legal ownership of the Goods remains with Apex Plumbing Solutions Pty Ltd until full payment is received. The Customer must store all copper piping securely on site until installed.
7. Personal Property Securities Act (PPSA) The Customer agrees to allow Apex Plumbing Solutions Pty Ltd to register a security interest on the PPSR over all copper piping supplied until paid for.
8. Risk Risk of damage to or loss of the Goods passes to Smith Constructions Pty Ltd upon delivery to the building site at 456 Site Road.
9. Warranties and Liability a) Apex Plumbing Solutions warrants that all workmanship complies with AS/NZS 3500 Standards. b) Liability for breach of a non-excludable guarantee is limited to the cost of rectifying the plumbing defect.
10. Default and Termination If payment is not made within 14 days, Apex Plumbing Solutions will charge interest at 10% per annum.
11. Governing Law These Terms of Trade are governed by the laws of Queensland.
